By accessing the Services provided on the Coterie Capital site/sites you expressly agree to the Terms and Conditions of the Services herein. You agree that the use of the Services and/or sites is made solely at your own risk and responsibility and that Coterie Capital bares no liability or responsibility for your use of the Services and/or sites including, without any limitation, for any damages, harm, or loss arising from use of the Services, including incorrect use, correct use, network failures, technical failures, smart contract errors, unauthorized access to any user wallets, regulatory and legal matters and consequences, or fraud. You agree that you will not use the Services (1) in a manner that violates any applicable regulation or law; (2) to fund terrorism; (3) to engage in any criminal activity; (4) to circumvent economic sanctions; or (5) to engage in unlawful money laundering. These Terms apply to you as a user of the Coterie Capital site, including all the products, services, smart contracts, tools and information made available on the Site. Coterie Capital, in its absolute and sole discretion, reserves the right to make changes to any of these Terms. Any such changes are binding on Users of the Site and will take effect immediately upon posting to the Site. As a User, you agree to be bound by any variations or modifications to our terms of service. Your continued use of the Site shall constitute acceptance of any such variations or modifications. You are advised to revisit these Terms periodically to familiarize yourself with any changes to the Terms. If you choose to access any of the third party sites, services, or resources, you do so solely at your own risk and subject to the terms and conditions for such sites, services, platforms or resources.

Indemnification

To the fullest extent permitted by applicable law, you indemnify, defend and hold harmless Coterie Capital and its past, present and future employees, freelancers, officers, directors, contractors, consultants, equity holders, service providers, parent companies, subsidiaries, affiliates, representatives, predecessors, successors and assigns all of the aforementioned parties from and against all claims, demands, actions, damages, losses, costs and expenses (including all legal fees) that arise from or relate to: (i) your use of the Coterie Capital site and services; (ii) your responsibilities or obligations under these Terms; (iii) your violation of any of these Terms. Coterie Capital reserves the right to exercise absolute control over the defense, at your expense, of any claim relating to the indemnification under this Section. This indemnity is in addition to, and not in replacement of, any other indemnities set forth in any written agreement between you and Coterie Capital.

Limitation of Liability

To the fullest extent permitted by applicable law, you expressly agree that use and access of the Coterie Capital site and services is at your sole risk. We do not guarantee that the Site will be secure or free from bugs, viruses, and/or errors. We cannot promise or ensure that the use of the Site, or any content taken from the Site, will not infringe the rights of any third party. Certain material and content available on the Site are for purely informational purposes and are not intended to address a user's particular requirements. The content and materials available on the Site do not in any way constitute any form of advice or recommendation by us, and should not be regarded as an offer, solicitation, invitation or recommendation to buy or sell investments, securities or any other financial services. Release

To the fullest extent permitted by applicable law, you release Coterie Capital and any other Coterie Capital Parties from responsibility, liability, claims, demands and/or damages of every kind. You expressly waive any rights you may have under any other statute or common law principles that would otherwise limit the coverage of this release to include only those claims which you may presume to exist in your favor at the time of agreeing to this release.

Governing Law

Any claims, disputes and controversies arising out of these Terms or in connection with the access or use of Coterie Capital shall be settled in Ontario, Canada.

Severability

If any term, clause or provision of these Terms is held unlawful, void or unenforceable, then that term, clause or provision will be severable from these Terms and will not affect the validity or enforceability of any remaining part of that term, clause or provision, or any other term, clause or provision of these Terms.

Termination of Use

You acknowledge and agree that we may, at our sole and total discretion, suspend, disable or terminate your access to all or part of the Site with or without notice and for any reason, including, without limitation, breach of these Terms. Upon suspension, we reserve the right to remove or delete any information that you may have on file with us, including any account or login information.
